SKYES OVER LONDON LC INDEPENDENT CONTRACTOR ACCOUNT EXECUTIVE AGREEMENT TEMPLATE This template is operational paperwork, not legal advice. Skyes Over London LC should have a licensed attorney review the final version before relying on it. 1. Relationship. Contractor is engaged as an independent contractor, not an employee, partner, joint venturer, or agent authorized to bind Skyes Over London LC. Contractor controls the manner, method, schedule, and place of work subject to the contracted deliverables and compliance rules. 2. Services. Contractor may prospect, introduce, qualify, and help close clients for approved Skyes Over London LC services. Contractor may not promise unapproved services, guarantee rankings, guarantee ad returns, guarantee lead volume, bind the company to custom scope, modify pricing, collect cash personally, or represent themselves as an employee. 3. Compensation. Contractor is paid only according to the written commission plan or signed addendum then in effect. No commission is earned until client payment clears. No commission is paid on ad spend, domains, third-party software, taxes, refunds, chargebacks, unpaid invoices, or pass-through vendor costs. Recurring commissions, if offered, are subject to retention, active account status, clawback rules, and the term stated in the commission plan. 4. Taxes. Contractor is responsible for all federal, state, and local taxes, estimated tax payments, self-employment taxes, licensing, expenses, insurance, and filings related to contractor earnings. Contractor must provide a completed Form W-9 or applicable tax documentation before payment. 5. Compliance. Contractor must follow company sales rules, advertising compliance rules, platform policies, review policy rules, privacy rules, and no-guarantee language. Contractor must not create fake reviews, misrepresent agency status, claim official partnerships unless approved, or make unsupported performance claims. 6. Confidentiality. Contractor may receive private scripts, pricing, fulfillment methods, customer information, client data, internal systems, and business plans. Contractor must keep that information confidential and use it only for approved Skyes Over London LC work. 7. Client Protection. Contractor may not bypass Skyes Over London LC, redirect prospects to a competing service, solicit active clients away from the company, or use company-provided leads for personal deals. State law can affect enforceability, so this section should be reviewed by counsel. 8. Ownership. Scripts, sales materials, site assets, playbooks, reports, pricing, dashboards, and internal systems remain Skyes Over London LC property unless a separate written agreement says otherwise. 9. Termination. Either party may end the contractor relationship under the terms of the final signed agreement. Termination does not remove confidentiality, client-protection, payment reconciliation, or return-of-property obligations. 10. Signature. Contractor acknowledges they read the agreement, understand they are an independent contractor, and accept the commission plan, compliance rules, confidentiality duties, and payment-profile requirements.
